Work For Hire Agreement

FREELANCE ILLUSTRATION AGREEMENT – WORK FOR HIRE & RIGHTS ASSIGNMENT

You are being hired by Binkley Toys Inc. (the “Company”) as an independent contractor to create illustrations, sketches, drawings, designs, or related artistic or audio/visual content (collectively, the “Work”) for one or more children’s books or similar projects. This agreement will apply to all such Work you create for the Company unless otherwise agreed in writing.

 OWNERSHIP & RIGHTS

You agree that all Work created under this Agreement is intended to be a “work for hire” as defined under Section 101 of the U.S. Copyright Act, to the extent permitted by law. The Company shall be considered the sole and exclusive owner of the Work and all associated rights in all media, worldwide, in perpetuity.

If, for any reason, any portion of the Work is deemed not to be a work-for-hire, you hereby irrevocably and unconditionally assign and transfer to the Company all rights, title, and interest in and to the Work, including all copyrights and any renewals or extensions.

You agree that you shall not use, reproduce, distribute, modify, publish, or display the Work in any form, including but not limited to public portfolios, websites, or social media, without prior written permission from the Company.

You may include low-resolution images in private one-on-one communications with potential clients only, provided they are clearly marked as “for sample purposes only” and not for public display.

You waive all moral rights, including the right to attribution and integrity, to the fullest extent permitted under the laws of your country and any applicable international treaties. Where waiver is not permitted, you agree not to assert such rights against the Company or its clients.

WARRANTIES

You represent that all Work is your original creation and does not infringe on the rights of any third party. You will not reuse any element of the Work, in whole or in part, for any other project or client.

You acknowledge that payment for your services constitutes full and fair compensation for the Work and all rights granted herein.

This Agreement is binding upon both parties and may be signed electronically. You agree that you have had the opportunity to seek legal counsel before entering into this Agreement.
